Terms of Service

These Terms of Service (the “Terms”) govern use of the digital service “Tsunagu Note” (the “Service”) provided by UP LINK Co., Ltd. (“we”, “us”). By using the Service, you agree to these Terms. The Japanese version is the authoritative text; this English text is for reference.
Article 1 (Scope)
- These Terms apply to all relationships between users and us regarding the Service.
- Rules, guides, and pricing shown on the Service form part of these Terms.
- If a specific notice states otherwise, that notice prevails over these Terms.
Article 2 (Definitions)
- User: a person who registers for and uses the Service
- Friend: a person designated by a user to receive notes, etc.
- Note: content such as messages, information, and files stored in the Service
- Check-in / monitoring: activity confirmation performed at intervals and by methods chosen by the user
- Note delivery: delivery of stored notes to Friends when inactivity or related conditions are met
Article 3 (Service; what we do not provide)
- The Service provides custody and delivery of digital ending notes, check-ins via messages and app notifications, and note delivery based on detection of inactivity.
- We do not draft wills, handle inheritance procedures, or provide legal, tax, or medical advice or decisions. The Service does not replace professional services.
- Notes are stored using technical measures including encryption. Users are responsible for the accuracy and usefulness of what they register; we do not guarantee content.
- We may change, add, or discontinue features with or without prior notice.
Article 4 (Registration and accounts)
- Registration is required. There is no minimum age, but minors should use the Service under appropriate supervision.
- One account per person. Shared accounts are prohibited.
- Identity verification is limited to email verification or SNS authentication at registration.
- Users must keep registration information accurate and current. Impersonation and misuse of others’ accounts are prohibited.
- We may suspend or delete accounts for violations, misuse, or other inappropriate use without refund.
Article 5 (Plans and payment)
- Plans (limits as implemented in the Service):
- Free: up to 1 note and 1 Friend. 0 yen/month.
- Standard: up to 5 notes and 5 Friends. 330 yen/month (tax included).
- Unlimited: unlimited notes and Friends. 550 yen/month (tax included).
- Paid plans are billed via Stripe subscription (credit card). The month in which you subscribe is free through the last day of that month. The first charge is on the 1st of the following month (UTC billing cycle), then on the 1st of each month.
- Upgrades take effect immediately; price changes apply from the next monthly charge on the 1st.
- Downgrades take effect immediately. Downgrade is not allowed if you exceed the new plan’s limits.
- No refunds for mid-cycle cancellation or unused periods, except where required by law.
- If payment fails or no valid payment method exists, we may place the account in read-only mode and stop check-ins and note delivery. Normal use resumes when payment succeeds after card update, etc.
- Price changes will be announced in the Service at least 30 days in advance. Continued use after the effective date constitutes acceptance.

Article 6 (User content)
- Rights in user content remain with the user or rightful owners.
- Users grant us a license to use content as needed to operate the Service, prevent misuse, and handle incidents (including storage, display, and delivery preparation).
- Prohibited content includes: illegal or offensive material; infringement of third-party rights; excessive sensitive data (passwords, PINs, full bank account numbers, etc.); malware, spam, defamation; and anything we deem inappropriate.
- We discourage storing passwords, PINs, or full account numbers. Risks of doing so are borne by the user.
Article 7 (Friends, check-ins, delivery)
- Friends register via an invitation URL sent by the user and by completing agreement. We do not deliver notes to non-consenting parties.
- Friends can view consent status and whether they can receive notes on the Friend UI.
- Check-ins follow user-selected intervals and methods. If there is no response for the user-specified period, note delivery may proceed.
- Delivery decisions run automatically at minute 0 of each hour. Delays or failures may occur due to network or third-party issues.
- If a Friend changes email or SNS accounts after registration, delivery may fail. Users should remove old Friend records and register anew when they learn of changes.
- Friends have no obligations under these Terms beyond agreeing to the explanation shown at registration.
- After delivery, Friends may save notes as PDF or print them.
- We are not liable for mistaken, delayed, or failed delivery or notifications due to: incorrect or changed contact details; user misconfiguration; Friend settings or devices; outages; third-party services; or other causes beyond our reasonable control.
Article 8 (Prohibited conduct)
Users must not: violate laws or these Terms; infringe rights; harass others; attempt unauthorized access, reverse engineering, or scraping; overload the Service; transfer accounts; or engage in other conduct we deem inappropriate.
Article 9 (Cancellation and data deletion)
- Users may cancel via in-Service procedures. Paid plans follow the same flow (check-ins, delivery, and billing stop upon cancellation).
- After cancellation, the account becomes read-only. User data is deleted on the 1st day of the month following cancellation (UTC batch). Recovery is not possible.
- Cancellation may be revoked only until the last day of the month in which cancellation was requested.
- We do not provide backup or export for users.
- Data already saved or printed by Friends may remain on their side.
Article 10 (Disclaimer)
- The Service is provided “as is” without warranties of fitness, accuracy, availability, or security.
- Except for our willful misconduct or gross negligence, we are not liable for any damages arising from use or inability to use the Service (including indirect, special, lost profits, or data loss).
- We are not involved in inheritance disputes or legal effect of registered content.
- The foregoing is subject to mandatory consumer protection laws where applicable.
Article 11 (Intellectual property)
IP rights in the Service belong to us or licensors. Users may not copy or exploit them without permission.
Article 12 (Changes)
We may change these Terms. Revised Terms take effect when posted on the Service.
Article 13 (Governing law; jurisdiction)
These Terms are governed by the laws of Japan. The Kyoto District Court has exclusive jurisdiction as the court of first instance.
